Terms of Service

These terms govern your use of Rytinco's dynamic QR code platform and services.

1. Agreement to Terms

By accessing or using Rytinco's services, you agree to be bound by these Terms of Service and all applicable laws and regulations.

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement made under the laws of the Republic of South Africa between you ("User," "you," "your," or "Customer") and Rytinco Group (Proprietary) Limited, a South African company registered under company number [Registration Number] ("Rytinco," "Company," "we," "us," or "our") regarding your access to and use of our website, platform, software, and services.

Important: If you do not agree to these Terms, you must not access or use our services. Your continued use of our services following any changes to these Terms constitutes acceptance of those changes.

2. Description of Services

Rytinco provides a comprehensive Qlink - dynamic QR Code & Shortlink - platform that includes:

Core Services

  • Qlink generation and management (dynamic QR codes and branded shortlinks)
  • No-code landing page builder with customization options
  • Form builder and submission management for data collection
  • Comprehensive analytics and reporting dashboards
  • Campaign and workspace management
  • Custom domain and branded URL support

Additional Features

  • Advanced QR code customization (colors, logos, styles)
  • Bulk Qlink creation and management
  • Form analytics and submission tracking
  • Geo-targeting and device-based analytics
  • Conversion tracking and engagement metrics
  • Dedicated customer support

Subscription Dependency: All Qlinks (QR codes and shortlinks), custom pages, and forms remain active and functional only while your subscription is current and active. Upon subscription cancellation, expiration, or non-payment, all Qlinks, pages, and forms will be automatically deactivated and become non-functional.

Service Evolution: We continuously improve our services and may add, modify, or discontinue features. We will provide reasonable notice of material changes that affect functionality.

3. User Accounts

3.1 Account Creation

To use certain features of our services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Using strong passwords and enabling two-factor authentication when available

3.3 Account Restrictions

You may not create multiple accounts to circumvent service limitations, share account credentials with others, or use automated means to create accounts. Each account is for individual or single entity use only. Each account is limited to one workspace. You may not create additional workspaces under the same account. However, you may be invited to collaborate in workspaces owned by other users.

4. Acceptable Use Policy

You agree not to use our services for any unlawful or prohibited activities.

Detailed acceptable use requirements are set forth in our Acceptable Use Policy, which forms part of these Terms by reference.

4.1 Incorporation of Acceptable Use Policy

Your use of our services is subject to our Acceptable Use Policy, which prohibits illegal, harmful, abusive, or inappropriate use of our platform. Violation of the Acceptable Use Policy constitutes a material breach of these Terms.

4.2 Enforcement

We reserve the right to investigate, suspend, or terminate access to our services for any violation of these Terms or our Acceptable Use Policy, with or without notice, at our sole discretion.

5. Intellectual Property Rights

5.1 Our Intellectual Property

Rytinco owns all rights, title, and interest in and to the services, including all software, technology, designs, trademarks, and proprietary information. These Terms do not grant you any ownership rights in our intellectual property.

5.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your intended business purposes.

5.3 Trademark Policy

"Rytinco" and our logos are trademarks of Rytinco Group (Pty) Ltd. You may not use our trademarks without our prior written consent, except as necessary to identify our services.

6. User Content

6.1 Your Content Rights

You retain ownership of all content you create, upload, or submit through our services ("User Content"). However, you grant us certain rights as described below.

6.2 License to Rytinco

By submitting User Content, you grant Rytinco a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your content as necessary to provide services
  • Create QR codes, landing pages, and forms containing your content
  • Process and manage form submissions on your behalf
  • Backup and maintain your content for service reliability
  • Analyze content for service improvement (in anonymized form)

6.3 Content Responsibility

You are solely responsible for your User Content and warrant that you have all necessary rights to grant the licenses described in these Terms. We may remove content that violates these Terms or applicable laws.

7. Domain Name Use Agreement

These terms apply when you connect a custom domain you own or use a Rytinco‑managed domain to deliver Qlinks or pages.

Ownership & Control

  • You own your custom domains registered with third‑party registrars
  • Rytinco‑managed domains remain our property and are licensed during an active subscription
  • You are responsible for ensuring your domain use does not infringe third‑party rights

DNS & SSL

  • Configure required DNS records for custom domains as instructed
  • We typically provision and auto‑renew SSL certificates
  • Loss of DNS control/ownership may interrupt certificates and routing

Acceptable Use & Takedown: Domain use is subject to our Acceptable Use Policy. We may suspend routing for abuse, security incidents, legal requests, or non‑payment. Notice and takedown is handled per our Copyright Infringement Policy.

8. Payment Terms

8.1 Subscription Plans

We offer various subscription plans with different features and usage limits. Current pricing is available on our website and may change with notice.

8.2 Payment Processing

Payments are processed by third-party payment providers. You agree to provide accurate payment information and authorize recurring charges for subscription plans.

8.3 Billing and Renewals

  • Subscriptions automatically renew unless cancelled
  • You will be charged at the beginning of each billing period
  • Price changes will be communicated in advance
  • Failed payments may result in service suspension
  • All fees are in South African Rand (ZAR) unless otherwise specified

Service Downgrade: When a paid subscription expires, is cancelled, or payment fails, the workspace will be downgraded to the Free tier. Items exceeding Free tier limits (Qlinks, pages, forms) may be deactivated. Visitors attempting to access deactivated Qlinks will receive an error message indicating the service is unavailable. Full service can be restored by reactivating a paid subscription.

8.4 Usage Surcharges

Additional fees apply for usage exceeding the base allowance in your subscription plan:

  • Surcharges apply to combined usage exceeding one million (1,000,000) scans/clicks per workspace per calendar month across all Qlinks and Pages
  • Rate: R100 per million scans/clicks or portion thereof above the base limit per workspace
  • Calculated monthly per workspace and billed in arrears during the subsequent billing cycle
  • All surcharge fees are in South African Rand (ZAR)

8.5 Free Tier, Downgrades, and Workspace Billing

All new accounts start on the Free tier by default. The Free tier is subject to the following conditions:

  • The Free tier is available indefinitely with no time limit, subject to the usage limits of the Free plan
  • There is no free trial period for paid plans; all paid subscriptions are billed immediately upon upgrade
  • If a paid subscription is cancelled, expires, or the account enters arrears due to non-payment, the workspace will be automatically downgraded to the Free tier
  • Upon downgrade to the Free tier, items exceeding Free tier limits (Qlinks, pages, forms) may be deactivated until within the allowed limits
  • If your workspace has more team members than the Free tier allows (1 user), excess team members will be removed from the workspace (most recently added members are removed first; the workspace owner is always retained)
  • If your account is downgraded due to arrears (non-payment), any outstanding invoices will be cancelled
  • Each account is limited to one workspace with its own subscription; you may also be invited to collaborate in workspaces owned by other users

8.6 Refunds and Cancellations

You may cancel your subscription at any time. Upon cancellation, your workspace will be downgraded to the Free tier. If you are a member of workspaces owned by other users, your access to those workspaces is not affected by your own cancellation. 9. Refund Policy

This section sets out our policy on refunds for paid subscriptions. Please read it carefully before purchasing a subscription.

9.1 General Rule

All fees paid for Rytinco subscriptions are non-refundable once charged. This includes, but is not limited to:

  • Monthly subscription fees that have already been billed
  • Automatic renewal charges processed before cancellation
  • Usage surcharges billed in arrears for the preceding period
  • Fees for plan upgrades during a billing cycle

9.2 Exceptional Circumstances

Rytinco may, at its sole discretion, consider a refund or account credit in the following exceptional circumstances:

  • Billing errors: Where a charge was applied incorrectly due to a system or administrative error
  • Duplicate charges: Where the same billing period was charged more than once
  • Documented service failures: Where a material, prolonged service outage directly prevented you from using core platform features during a significant portion of a billing period

How to Request a Refund: If you believe you qualify for a refund under exceptional circumstances, contact support@rytinco.com within 14 days of the charge in question. Include your account email, the date and amount of the charge, and a description of the issue. Refund requests are reviewed on a case-by-case basis and a decision will be communicated to you within a reasonable time.

9.3 Consumer Protection Act (CPA) Rights

Nothing in this refund policy is intended to limit or exclude any rights you may have under the Consumer Protection Act 68 of 2008 (South Africa) or any other applicable consumer protection legislation. Where these Terms conflict with your statutory rights, your statutory rights shall prevail.

Your Rights Under the CPA: South African consumers may have additional rights under the CPA, including but not limited to the right to cancel advance bookings or reservations within certain time frames, the right to return goods in specific circumstances, and protection against unfair contract terms. If you have questions about how the CPA applies to your subscription, please contact legal@rytinco.com.

9.4 Effect of Cancellation

When you cancel a paid subscription:

  • Your subscription remains active until the end of the current paid billing period
  • No pro-rata or partial refund is provided for unused days remaining in the billing period
  • At the end of the paid period, your workspace is automatically downgraded to the Free tier
  • Items exceeding Free tier limits (Qlinks, pages, forms) may be deactivated
  • You may resubscribe at any time to restore full functionality

10. Automatic Renewal Terms

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for the applicable plan and taxes.

Billing Cycle

  • Monthly plans
  • Renewal on same day-of-month or nearest business day
  • Invoices/receipts sent to your account email

Pricing & Notices

  • We provide reasonable notice of pricing changes
  • New prices apply from your next renewal unless you cancel

Cancellation

  • Cancel any time before your renewal date to stop future charges
  • Service remains active until the end of the paid period
  • Qlinks and pages may be deactivated after expiry
  • Cancel in billing settings or contact support@rytinco.com

Refunds & Failures

  • Fees are generally non‑refundable once renewed
  • We may retry failed charges and request updated billing details
  • Persistent non‑payment may lead to suspension

Free Tier & Taxes: The Free tier has no time limit and does not require a credit card. There is no free trial for paid plans. Taxes (e.g., VAT) are added where applicable to paid subscriptions. You can upgrade from the Free tier at any time; paid billing begins immediately upon upgrade.

11. Service Availability and Support

11.1 Service Uptime

We strive to maintain high service availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance when possible.

11.2 Support Services

Support is provided based on your subscription plan. We offer:

  • Email support for all users
  • Priority support for premium plans
  • Documentation and knowledge base access
  • Community forums for user interaction

11.3 Service Modifications

We reserve the right to modify, suspend, or discontinue services with reasonable notice. We will provide migration assistance for discontinued features when feasible.

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription or contacting our support team. Termination will be effective at the end of your current billing period.

12.2 Termination by Us

We may terminate or suspend your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay fees when due
  • Use services in a manner that causes harm to us or others
  • Engage in fraudulent or illegal activities

12.3 Effect of Termination

Upon termination, your access to services will cease, and we may delete your data after a reasonable period. You remain liable for all fees incurred before termination.

Qlinks, Pages, and Forms Deactivation: Immediately upon termination (whether by you or us), all Qlinks (QR codes and shortlinks), custom pages, and forms will become non-functional. Any printed materials containing these QR codes, published shortlinks, or form links will no longer work and will display error messages to visitors.

Data Retention and Recovery

  • Your Qlink configurations, form data, and analytics data may be retained for up to 30 days after termination
  • During this period, you may reactivate your account to restore full functionality
  • After 30 days, all data including form submissions may be permanently deleted at our discretion
  • We are not responsible for any business disruption caused by deactivated Qlinks or forms
  • It is your responsibility to export form data and update or replace any printed materials before termination

13. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13.1 Data Processing

We process personal data in accordance with applicable privacy laws including POPIA, GDPR, and other regional regulations.

13.2 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the internet is 100% secure.

14. Disclaimers

Important Legal Notice

The following disclaimers limit our liability and your rights under this agreement.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind
  • We disclaim all warranties, express or implied, including merchantability and fitness for purpose
  • We do not guarantee that services will be uninterrupted, error-free, or secure
  • We are not responsible for third-party content, services, or actions
  • You use services at your own risk and discretion

15. Limitation of Liability

IMPORTANT: This section limits our liability to you. Please read carefully.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability to you shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for lost profits, data loss, business interruption, or other commercial damages
  • These limitations apply regardless of the legal theory of liability
  • Some jurisdictions may not allow these limitations, so they may not apply to you

16. Indemnification

You agree to indemnify, defend, and hold harmless Rytinco and its officers, directors, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our services
  • Your violation of these Terms
  • Your User Content or activities
  • Your violation of any rights of another party
  • Your violation of applicable laws or regulations

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, including but not limited to the Electronic Communications and Transactions Act 25 of 2002, the Consumer Protection Act 68 of 2008, and the Protection of Personal Information Act 4 of 2013, without regard to conflict of law principles.

17.2 Jurisdiction and Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the competent courts of the Republic of South Africa. The parties hereby consent to the personal jurisdiction of the Western Cape Division of the High Court of South Africa, Cape Town, and waive any objection to venue therein.

17.3 Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us directly to resolve any disputes. We are committed to working with you to find a fair resolution.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make changes:

  • We will post the updated Terms on our website
  • We will update the "Last Updated" date
  • For material changes, we will provide notice via email or platform notification
  • Continued use of services after changes constitutes acceptance
  • If you don't agree to changes, you may terminate your account

19. Referral Programme

Rytinco offers a referral programme that allows users to earn commissions by referring new paying customers. Participation in the referral programme is subject to the following terms.

19.1 Eligibility

All verified Rytinco users with an active account are eligible to participate in the referral programme. Rytinco reserves the right to revoke referral privileges at any time if abuse, fraud, or violation of these Terms is detected.

19.2 Referral Mechanism

Each eligible user is assigned a unique referral code and shareable referral link accessible from their account settings. When a new user signs up via a referral link or enters a referral code during the upgrade process, they are attributed to the referring user.

  • Attribution uses a first-touch model: the first valid referral code associated with a workspace is retained unless overridden during the upgrade flow.
  • Attribution is valid for 60 days from the date of sign-up. If the referred workspace does not upgrade within 60 days, the attribution expires.
  • The referred user may override the attribution by entering a different referral code on the payment page before completing their first upgrade.

19.3 Commission Terms

Commission Calculation

  • Commission is earned once per referred workspace
  • Triggered on the workspace's first successful paid subscription payment only
  • Calculated as a percentage of the full monthly price of the plan selected at first upgrade
  • The default commission rate is set by Rytinco and may vary by plan
  • Subsequent renewals, plan changes, or additional workspaces by the same user do not generate further commission

Payout Terms

  • Commissions are subject to a 30-day hold period before becoming payable
  • Minimum payout threshold of R500 must be met before a payout is processed
  • Payouts are processed via manual EFT (electronic funds transfer)
  • Payout timing is at Rytinco's discretion; there is no guaranteed payout schedule
  • All payout amounts are in South African Rand (ZAR)

19.4 Reversals and Negative Carry

If a referred workspace's payment is refunded (whether during or after the hold period), the corresponding commission will be reversed. If the commission has already been paid out, a negative carry balance will be applied to the referrer's account, reducing future payouts until the reversed amount is recovered.

19.5 Anti-Abuse and Fraud Prevention

Rytinco actively monitors the referral programme for abuse. Violations may result in immediate suspension of referral privileges, forfeiture of unpaid commissions, and/or account termination.

Prohibited activities include, but are not limited to:

  • Self-referrals (referring workspaces you own or control)
  • Creating fake accounts or workspaces to generate referral commissions
  • Using misleading, deceptive, or spammy methods to promote referral links
  • Impersonating Rytinco or misrepresenting the referral programme terms
  • Coordinating with referred users to exploit refund or chargeback processes
  • Any activity designed to artificially inflate referral metrics (clicks, sign-ups, conversions)

19.6 Programme Changes and Termination

Rytinco reserves the right to modify the referral programme terms — including commission rates, hold periods, minimum payout thresholds, and eligibility criteria — at any time with reasonable notice. Rytinco may suspend or terminate the referral programme entirely at its sole discretion. Any commissions already in "Payable" status at the time of programme termination will be honoured, subject to the payout terms above.

Tax Responsibility: Referral commissions may be considered taxable income. You are solely responsible for reporting and paying any applicable taxes on referral earnings in your jurisdiction. Rytinco does not withhold taxes on referral payouts and does not provide tax advice.

General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Rytinco
  • Severability: If any provision is found unenforceable, the remainder shall remain in effect
  • Waiver: No waiver of any term shall be deemed a continuing waiver
  • Assignment: You may not assign these Terms; we may assign them with notice
  • Force Majeure: Neither party is liable for delays due to circumstances beyond their control
